Terms of Service

These Terms of Service ("Terms") govern access to and use of SmartSchool, a product of SmartVerse Digital Innovations Limited ("SmartVerse," "we," "us," or "our"). By activating a SmartSchool license or otherwise using the platform, you agree to these Terms on behalf of yourself and, where applicable, the school you represent.

SmartSchool is a school management platform that allows a school to manage student records, attendance, results, fees, timetables, staff/payroll, and communication with parents. Access is granted per license, activated with a License Code tied to a specific school account.

• A SmartSchool license is lifetime and non-transferable — it is issued to one school and may not be resold, shared with, or transferred to another school or organization.
• Each license permits activation on up to the number of devices stated on your plan (default: 5 devices), for use by that school's own staff.
• License pricing follows the tier (Small / Medium / Large / Enterprise) purchased, based on your school's active student count at the time of purchase. Exceeding your tier's student cap will require an upgrade to a higher tier.
• Early-bird launch pricing, where applicable, is a one-time discount off the regular price and does not affect any other term of this agreement.

You agree to use SmartSchool only for lawful school administration purposes. You agree not to:

• Attempt to access another school's data, account, or license without authorization.
• Reverse-engineer, decompile, or attempt to extract the underlying source code of SmartSchool.
• Use the platform to store or transmit unlawful, defamatory, or harmful content.
• Circumvent license activation, device limits, or student-count caps through technical means.
• Misuse the Parent Portal, Bursar, or Teacher login systems to access records outside your authorized role.

As the school using SmartSchool, you are responsible for:

• The accuracy of student, staff, and fee information you enter into the platform.
• Obtaining any consents from parents or guardians required under applicable law before entering their or their child's information.
• Safeguarding your admin password, and any usernames/passwords or PINs you issue to staff, teachers, or parents.
• Promptly notifying SmartVerse of any suspected unauthorized access to your account.

• License fees are payable as agreed at the time of purchase (full payment or an approved installment plan).
• Optional annual support/SLA fees, where applicable, are billed separately and do not affect the underlying lifetime license.
• Fees already paid are non-refundable except where required by law or expressly agreed by SmartVerse in writing.

All student, staff, and school data entered into SmartSchool remains the property of the school that entered it. SmartVerse acts only as a data processor, storing and processing that data to provide the service, as described in our Privacy Policy.

We aim to keep SmartSchool available and reliable, but we do not guarantee uninterrupted access. Planned maintenance, hosting provider issues, or circumstances outside our reasonable control may result in temporary downtime. We are not liable for losses resulting from such interruptions.

To the maximum extent permitted by law, SmartVerse's total liability for any claim arising from your use of SmartSchool is limited to the amount you paid for your license in the twelve months preceding the claim. SmartVerse is not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunity.

We may suspend or terminate access to SmartSchool if these Terms are materially breached, including unauthorized license transfer, attempts to circumvent license limits, or unlawful use of the platform. A school may stop using SmartSchool at any time; since licenses are lifetime and non-refundable once issued, termination by the school does not entitle it to a refund of fees already paid.

We may update these Terms from time to time as SmartSchool evolves. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of SmartSchool after a change constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
